Gleeful.me – Terms and Conditions for Buyers and Sellers

1. Introduction
Welcome to Gleeful.me (“Platform”), operated by Gleeful.me Ltd. (“Company,” “we,” “us,” or “our”).
These Terms and Conditions (“Terms”) govern your access to and use of the Gleeful.me website, mobile application, and all associated services (collectively, the “Services”).
By using or accessing the Platform as a Buyer or Seller, you agree to comply with and be bound by these Terms. If you do not agree, you must not use the Platform.
Our Privacy Policy and any other documents expressly referred to form part of these Terms.
2. Definitions
In these Terms:
- “Account” means a registered user profile on the Platform.
- “Buyer” means a user purchasing or intending to purchase goods or services through the Platform.
- “Seller” means a user listing, offering, or selling goods or services through the Platform.
- “Transaction” means any sale or purchase made between a Buyer and a Seller through the Platform.
- “Content” means text, graphics, images, videos, or any other material uploaded or published on the Platform.
- “User” means any person or entity accessing or using the Platform, including both Buyers and Sellers.
3. Eligibility and Account Registration
3.1. You must be at least 18 years old and legally capable of entering into binding contracts under UK law.
3.2. When you register for an Account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your login details and for all activities under your Account.
3.3. We reserve the right to suspend or terminate Accounts suspected of misuse, fraud, or violation of these Terms.
4. Use of the Platform
4.1. You agree to use the Platform only for lawful purposes. You must not use the Platform:
- In any way that breaches any applicable local, national, or international law or regulation;
- To send or upload any material that is defamatory, obscene, offensive, or otherwise objectionable;
- To misrepresent your identity or affiliation; or
- To interfere with or disrupt the security, functionality, or integrity of the Platform.
4.2. We may suspend, restrict, or terminate your access if we reasonably believe you have breached these Terms.
5. Seller Obligations
5.1. Sellers must ensure that all listings are accurate, not misleading, and comply with applicable UK consumer protection and e-commerce laws.
5.2. Sellers represent and warrant that:
- They have full right and authority to sell the listed goods or services;
- All items comply with UK law, including product safety, consumer rights, and advertising standards; and
- They will deliver goods or services in accordance with agreed terms and within reasonable timeframes.
5.3. Sellers are solely responsible for compliance with tax obligations, including VAT, income tax, and other applicable levies.
5.4. We reserve the right to remove listings or suspend Sellers who breach these Terms or applicable laws.
6. Buyer Obligations
6.1. Buyers are responsible for reviewing all listing details before purchasing.
6.2. By confirming a purchase, the Buyer enters into a binding agreement with the Seller and agrees to pay all applicable charges.
6.3. Buyers acknowledge that Gleeful.me acts only as an intermediary and is not a party to Transactions between Buyers and Sellers.
6.4. Any requests for refunds, cancellations, or complaints regarding products or services should be directed to the relevant Seller, unless otherwise required by UK consumer law.
7. Payments and Fees
7.1. Payments are processed through third-party payment processors authorised under UK financial regulations. Gleeful.me does not collect or store payment details.
7.2. Gleeful.me may charge service or transaction fees, which will be disclosed prior to confirming any Transaction.
7.3. Sellers authorise Gleeful.me to deduct applicable fees and commissions from proceeds before disbursing funds.
7.4. Unless otherwise required by law, all fees and commissions are non-refundable.
8. Dispute Resolution
8.1. In the event of a dispute between a Buyer and Seller, Gleeful.me may offer a facilitation or mediation process but is not obliged to resolve disputes.
8.2. Users are encouraged to resolve disputes directly and in good faith.
8.3. Gleeful.me reserves the right to temporarily withhold funds or restrict access to Accounts involved in ongoing disputes.
9. Intellectual Property
9.1. The Platform, including all design, text, graphics, software, and trademarks, is the property of Gleeful.me or its licensors and is protected under UK and international intellectual property laws.
9.2. Users retain ownership of their uploaded Content but grant Gleeful.me a non-exclusive, worldwide, royalty-free licence to use, reproduce, distribute, and display such Content in connection with operating and promoting the Platform.
9.3. Users must not reproduce, distribute, or modify any part of the Platform without express written permission.
10. Limitation of Liability
10.1. To the fullest extent permitted by UK law, Gleeful.me shall not be liable for any indirect, incidental, or consequential damages arising from:
- Your use of or inability to use the Platform;
- Transactions between Buyers and Sellers; or
- Any unauthorised access to, or alteration of, your data.
10.2. Nothing in these Terms limits or excludes liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation; or
- Any other liability that cannot be excluded under UK law.
10.3. In all other cases, Gleeful.me’s total aggregate liability shall not exceed the total fees paid by you to Gleeful.me in the six (6) months preceding the claim.
11. Indemnity
You agree to indemnify and hold harmless Gleeful.me, its directors, employees, and affiliates from any claims, losses, or damages arising out of your breach of these Terms, violation of applicable law, or infringement of third-party rights.
12. Suspension and Termination
12.1. We may suspend or terminate your Account immediately if we reasonably believe that you have breached these Terms, engaged in unlawful activity, or caused harm to the Platform or other Users.
12.2. Termination does not affect accrued rights or obligations prior to termination.
12.3. Upon termination, your right to use the Platform ceases immediately, and any Content you have uploaded may be deleted.
13. Changes to These Terms
We may revise these Terms from time to time. Any amendments will be posted on the Platform with an updated “Effective Date.” Your continued use of the Platform after such publication constitutes your acceptance of the revised Terms.
14. Governing Law and Jurisdiction
These Terms and any dispute arising from or relating to them shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any claim or matter arising under or in connection with these Terms.
15. Severability
If any provision of these Terms is found invalid or unenforceable by a court, the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other referenced documents, constitute the entire agreement between you and Gleeful.me relating to your use of the Platform.
